By accessing and using Fundup AI ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our website located at fundup AI and our related services, features, content, and applications offered by Fundup AI Inc. ("Company", "we", "us", or "our").

2. Description of Service

Fundup AI provides a funding intelligence platform that offers:

• Access to comprehensive startup and company databases (public data only)
• Funding and market intelligence from public sources
• Hiring Signals derived from publicly listed open roles and career pages
• API access for data integration
• Native integrations with third-party platforms
• AI-powered insights and recommendations based on public data
• Ask AI: an AI assistant to help you explore and query our platform data using natural language.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Data Collection Methods: We collect data through automated systems and human verification from publicly available sources only. Our data collection combines various authorized methods and manual review to ensure accuracy and compliance with source terms of service.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

5. API and Data Usage Terms

Use of our API and data is subject to the following. Permitted uses include, for example:

• Sales and business development (e.g. input into CRM, lead lists, outreach)
• Internal charts, reports, dashboards, and analytics
• Use of data within your company for research, strategy, and operations
• Training or fine-tuning machine learning or LLM models for your internal use
• Derived insights, summaries, and analysis for your own business purposes

You may not:

• Scrape or use bots/crawlers to extract data outside normal API usage
• Relay, resell, redistribute, or sublicense the data (including via a separate API or data product)
• Display or publish the data in raw or bulk form on any public website, app, or service
• Use the data to build a product or service that competes with Fundup AI or that substantially replicates our database

You must comply with rate limits and usage quotas, and we reserve the right to monitor API usage for compliance. Third-party integrations require your setup and are subject to their respective terms. We are not responsible for third-party functionality or data handling.

6. Data Accuracy and Reliability

Important: All data provided through our platform is for informational purposes only. Users acknowledge and agree that:

• We aggregate data from multiple public sources and cannot guarantee its accuracy, completeness, or timeliness
• Data may be outdated, incomplete, or contain errors
• Users must independently verify all information before making business decisions
• We are not responsible for any decisions made based on the data provided
• Data should not be used as the sole basis for investment, legal, or business decisions
• We do not provide financial, legal, or investment advice

By using our service, you acknowledge that you understand these limitations and agree to use the data responsibly.

7. Payment Terms

For paid services:

• Fees are charged in advance on a monthly or annual basis
• All fees are non-refundable except as required by law

• Integration functionality may be limited by third-party platform restrictions or changes

Any data shared with third-party services through our integrations is subject to those services' privacy policies and terms of service.

We use third-party tools for analytics (e.g., Google Tag Manager, PostHog), support (Crisp), and email (Sender.net). Use of the Service is subject to our Privacy Policy and those providers' policies.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Fundup AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service, but grant us a license to use, modify, and display such content in connection with providing the Service.

10. Ask AI

When you use Ask AI, the following terms apply in addition to the rest of these Terms:

• No training on your data: We do not use your queries, inputs, or any information you provide through Ask AI to train or improve our AI models. Your conversations and inputs are not used for model training.
• No use of your behavior: We do not use your behavior, usage patterns, or interactions with Ask AI to train our AI engine.
• Your data remains yours: All information you provide and all outputs generated for you in Ask AI are yours. You retain full ownership of your inputs and the results; we do not claim any ownership over them.
• GDPR and EU AI Act: We are committed to complying with the EU General Data Protection Regulation (GDPR) and the EU Artificial Intelligence Act (EU AI Act) in the design and operation of Ask AI and related AI features.

AI Services

Ask AI is an AI-powered service. By using it you agree that: (a) AI-generated outputs may contain errors and should be reviewed before use; (b) we may monitor usage and performance to improve the service; (c) we do not guarantee specific AI output quality or availability; and (d) your use of AI services is at your own risk. We may modify or limit AI features at any time. These terms apply in addition to the rest of these Terms.

11. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We are committed to GDPR and the EU AI Act where applicable, and to HIPAA compliance where applicable. We follow industry best practices for data protection and security and are working towards SOC 2 Type II certification.

12. Use of the Dashboard and Cookies

The dashboard requires essential cookies for authentication, session management, and security. These cookies cannot be disabled. By accessing and using the dashboard, you accept the use of these essential cookies. The dashboard does not display a separate cookie consent banner.

On our marketing pages, we show a cookie consent banner for optional analytics and advertising cookies. You may accept or reject these. Refusing optional cookies on marketing pages does not affect your ability to use the dashboard.

13. Email Communications and Newsletter

We send email communications, including The Weekly Digest by Fundup AI (our weekly funding newsletter), to users who have opted in to receive them. Our email practices include:

• Opt-in Only: We only send emails to users who have explicitly subscribed through our website forms (homepage, Insights, or "Recently Funded" pages)
• Double Opt-in: Newsletter subscribers must confirm their email address via a confirmation link before receiving emails
• Email Verification: All subscriber email addresses are verified before being added to our mailing list
• Unsubscribe: Every email includes a clear unsubscribe link. You can unsubscribe at any time, and we process unsubscribe requests immediately
• Content: The Weekly Digest contains information about newly funded startups, including funding amounts, key investors, and notable details
• Frequency: We send The Weekly Digest once per week to subscribers who have confirmed their subscription
• No Spam: We do not purchase email lists or send unsolicited emails. We only email users who have explicitly opted in

By subscribing to our newsletter, you consent to receive The Weekly Digest emails. You can manage your email preferences or unsubscribe at any time using the link provided in every email.

14. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL FUNDUP AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

You may terminate your account at any time by contacting us or using the account closure feature in your dashboard.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.
