1. Introduction

These Terms of Use ("Terms") govern your purchase and use of Funding Pass, a weekly funding intelligence subscription product operated by Fundup AI ("we," "us," "our"). Fundup AI is a sole proprietorship (autónomo) registered in Spain.

By purchasing or using Funding Pass, you ("you," "subscriber") agree to these Terms. If you do not agree, do not purchase the Service.

Definitions

  • "Service" means the Funding Pass subscription product, including the weekly Excel report, contact data, and access to your account settings page.
  • "Weekly Report" means the curated Excel file delivered to your email each Tuesday containing approximately 150 funded companies and associated contact information.
  • "Subscription" means an automatically renewing annual purchase of the Service.
  • "One-Year Access" means a non-renewing one-time purchase granting 365 days of access.
  • "Internal Use" means use within your own business or organization for your own outreach, research, or investment activities.

2. The Service

2.1 What Funding Pass Provides

Funding Pass delivers an Excel file every Tuesday containing approximately 150 hand-picked, recently funded companies. Each entry typically includes:

  • Company information (name, description, location, size, website)
  • Funding details (amount, type, date, investors)
  • A "Spend Intent" signal (categories such as Hiring, Marketing, Sales, R&D, Product, Infrastructure)
  • One verified business contact matched to your stated persona preferences

2.2 Volume

The Weekly Report contains approximately 150 companies. The actual count may vary from week to week based on global funding activity, holiday periods, data verification timing, and other factors. We make no guarantee of any specific minimum or maximum number of companies in any given Weekly Report. We commit to delivering a Weekly Report each scheduled week (Tuesday afternoon, Europe/Madrid time) for the duration of your subscription, except in cases of force majeure or scheduled maintenance.

2.3 Contact Data

Contact information is verified through industry-standard third-party sources. We aim for industry-standard accuracy, but no contact database is 100% accurate. Bouncing emails, outdated titles, or recent staff changes are possible. We do not guarantee deliverability or accuracy of any specific contact.

2.4 Personalization

The companies included in each Weekly Report are the same for all subscribers. Your stated preferences (countries, company sizes, spend intent, persona department, persona seniority) influence:

  • Row highlighting in the Excel (hot/warm/none match indicators)
  • Which contact is selected per company (one persona-matched contact)

You may update your preferences at any time through your account settings; changes apply to the next Weekly Report after your update.

2.5 Service Modifications

We may improve, modify, or change the format, structure, or content of Weekly Reports at any time without notice, provided that any change does not materially reduce the core value of the Service. Examples of permitted changes include adding or removing data columns, adjusting Spend Intent categories, modifying the visual format of the Excel, or changing the delivery schedule by up to 24 hours.

Material changes that significantly reduce the Service's value will be communicated via email at least 30 days in advance.

3. Account & Eligibility

3.1 Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of yourself or your organization. Funding Pass is intended for business use; consumer (non-business) purchases are not the target audience but are not prohibited.

3.2 Account Information

You must provide accurate email and preference information at purchase. You are responsible for keeping your account credentials secure. We are not liable for unauthorized access resulting from your failure to safeguard credentials.

3.3 Authentication

Funding Pass uses email-based magic-link authentication. You are responsible for maintaining access to the email address used at purchase. Lost access to that email may result in inability to manage your subscription; we will assist with reasonable identity verification but cannot guarantee account recovery.

4. Subscription, Pricing & Renewal

4.1 Pricing

The Service is priced at $99 USD per year, payable in advance.

Two purchase options are available:

  • Annual Subscription (auto-renewing): $99/year, automatically renewed each year unless canceled before the renewal date.
  • One-Year Access (one-time payment): $99 single payment for 365 days of access. Does not auto-renew.

You select your preferred option at checkout via a clearly labeled, unchecked-by-default auto-renewal option.

4.2 Price Lock for Existing Subscribers

If you maintain an active Annual Subscription, your renewal price is locked at $99/year for the duration of your continuous subscription. We will not increase the price for existing subscribers as long as your subscription remains active and uninterrupted. If your subscription lapses (for any reason, including payment failure), this price lock no longer applies, and any new subscription is at the then-current price.

4.3 Auto-Renewal & Cancellation

Annual Subscriptions automatically renew each year on the anniversary of your purchase date, charging the payment method on file. You may cancel auto-renewal at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period; you retain access until that date.

One-Year Access purchases do not auto-renew. Access ends naturally on the expiration date listed in your account.

4.4 Failed Payments

If a renewal payment fails, we will retry per industry-standard payment recovery procedures. During this grace period, you continue to receive Weekly Reports. If payment cannot be recovered after the grace period, the subscription will be canceled.

4.5 Currency & Taxes

Prices are stated in US Dollars. Applicable taxes (VAT, sales tax, or similar) may be added at checkout based on your billing location. You are responsible for any taxes applicable to your purchase under the laws of your jurisdiction.

5. Refund Policy

5.1 7-Day Money-Back Guarantee

You may request a full refund within 7 days of your initial purchase for any reason, no questions asked.

Refund requests are processed via email to [email protected]. Refunds are returned to the original payment method and typically post within 5-10 business days.

5.2 Refund Exclusions

Even within the 7-day window, we reserve the right to deny a refund if:

  • You have downloaded 1 or more Weekly Reports
  • We have reason to believe Service data has been redistributed externally (in violation of Section 6)
  • You have previously received a refund on a Funding Pass purchase

5.3 Refunds After 7 Days

After the 7-day window, all sales are final. No refunds are issued for:

  • Unused portions of an active subscription period
  • Mid-period cancellations of Annual Subscriptions
  • One-Year Access purchases past the 7-day window

This is independent of any pro-rata refund obligation we have under Section 8 (Operational Commitment & Discontinuation), which applies only if we discontinue the Service, not if you cancel.

5.4 EU Statutory Right of Withdrawal

If you are a consumer (not a business) located in the European Union, you have a statutory 14-day right of withdrawal under EU consumer protection law. By purchasing Funding Pass and beginning to receive Weekly Reports, you expressly request immediate performance of the Service and acknowledge that your right of withdrawal will be lost upon delivery of the first Weekly Report. Our 7-day money-back guarantee provides additional protection beyond this statutory minimum in the first week; after the first Weekly Report is delivered, no further refund entitlement applies.

5.5 Refund Currency

Refunds are issued in the same currency and to the same payment method as the original purchase. Currency conversion fluctuations between purchase and refund are not our responsibility.

6. License & Permitted Use

6.1 License Grant

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to:

  • Receive Weekly Reports during your subscription period
  • Use the data within Weekly Reports for internal business purposes within your own organization or sole proprietorship

6.2 Internal Use

"Internal use" means use by you and your colleagues, employees, or co-workers within your own business or organization for purposes such as:

  • Sales prospecting and outreach
  • Market research and competitive intelligence
  • Investment research
  • Recruiting and talent identification
  • Strategic planning

Sharing the Weekly Report file with members of your immediate team or organization is permitted. Sharing or redistributing data outside your organization is not.

6.3 Data Ownership

Funding Pass aggregates publicly available company information and contact data licensed from verified third-party sources. We do not claim ownership of underlying public information, but the curation, structure, and selection methodology of the Weekly Report (including the persona-matching, Spend Intent classification, and ICP-highlighting features) are our intellectual property.

7. Prohibited Use

You may not, and may not permit any third party to:

7.1 Resale & Redistribution

  • Resell, sublicense, lease, rent, or otherwise commercially distribute Weekly Reports or their contents
  • Share Weekly Reports with parties outside your organization
  • Publish, post, or display Weekly Report contents on any website, social media, newsletter, or other public or semi-public channel
  • Aggregate Weekly Report data with other data sources for resale or redistribution

7.2 Competitive Use

  • Use Weekly Reports or their contents to build, train, or operate a product or service that competes with Funding Pass or Fundup AI
  • Use Weekly Reports as inputs to train machine learning models intended for commercial deployment
  • Reverse-engineer our curation, scoring, or matching methodologies

7.3 Abuse

  • Use the Service in violation of any applicable law, including data protection laws (GDPR, CCPA, and similar) and anti-spam laws (CAN-SPAM, GDPR e-Privacy, and similar)
  • Use contact data for unsolicited bulk email or other spam activities
  • Harass, threaten, or harm any contact listed in a Weekly Report
  • Attempt to circumvent technical limitations, rate limits, or access controls of the Service

7.4 Account Sharing

  • Share your account access with users outside your organization
  • Use a single subscription to deliver Weekly Reports to multiple unrelated organizations

7.5 Consequences of Violation

If we determine, in our reasonable judgment, that you have violated these prohibitions, we may:

  • Suspend or terminate your subscription without refund
  • Pursue civil remedies including damages and injunctive relief
  • Report violations to law enforcement where applicable

8. Operational Commitment & Discontinuation

8.1 Operational Commitment

We commit to operating the Service for a minimum of 24 months from the launch date of Funding Pass.

8.2 Discontinuation Notice

After the initial 24-month commitment, we may discontinue the Service at our discretion, provided that we give existing subscribers at least 90 days' written notice by email.

8.3 Pro-Rata Refunds on Discontinuation

If we discontinue the Service:

  • Within the first 24 months from launch: You will receive a full refund of any unused portion of your subscription, calculated on a daily pro-rata basis. The 24-month commitment is firm; we will refund regardless of how much of your individual subscription period has elapsed.
  • Between 24 and 60 months from launch: You will receive a partial refund calculated as: $99 × (60 - months_active_at_discontinuation) / 60, where months_active_at_discontinuation is the number of full months from launch to the discontinuation date.
  • After 60 months from launch: We have no refund obligation. The Service is considered fully amortized.

These pro-rata refunds apply only to discontinuation initiated by us, not to subscriber-initiated cancellation under Section 4 or refunds under Section 5.

8.4 Force Majeure

We are not responsible for failures to deliver Weekly Reports or interruptions in service caused by events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, government action, internet or infrastructure failures, third-party service outages (including but not limited to Stripe, Resend, Google Cloud, or contact data providers), and similar circumstances. We will use reasonable efforts to resume service as soon as possible.

9. Data Accuracy & Disclaimers

9.1 Best-Efforts Accuracy

We provide the Service on a "best efforts" basis. Funding data, contact information, and company details are sourced from publicly available information and third-party providers. We make reasonable efforts to verify accuracy but do not guarantee:

  • That funding amounts, dates, or types are correct as reported in primary sources
  • That contact email addresses are deliverable
  • That contact titles, seniorities, or departments are current
  • That Spend Intent classifications correctly predict actual spending behavior
  • That any specific company, contact, or piece of data will be present in any given Weekly Report

9.2 No Warranty of Outcomes

Funding Pass provides data and intelligence. We do not guarantee that you will achieve any particular sales, recruiting, investment, or business outcome from using the Service. Outcomes depend on your own efforts, strategy, market conditions, and many other factors outside our control.

9.3 As-Is Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT THESE WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

This disclaimer does not exclude any rights you may have as a consumer under EU or Spanish consumer protection law.

10. Intellectual Property

10.1 Our IP

Funding Pass, Fundup AI, our logos, branding, the curation and matching methodologies, the Weekly Report format, and all software, content, and design elements of the Service are our exclusive property or licensed to us. Your subscription does not transfer any ownership rights to you.

10.2 Your Feedback

If you provide feedback, suggestions, or improvement ideas, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your feedback into the Service without compensation or attribution.

10.3 Third-Party Content

Weekly Reports may include links to third-party websites, news articles, LinkedIn profiles, and similar resources. We do not endorse, control, or take responsibility for third-party content.

11. Liability Limitation

11.1 Limitation of Damages

To the maximum extent permitted by applicable law, our aggregate liability to you for any claim arising out of or relating to the Service, these Terms, or any breach hereof, whether in contract, tort, or otherwise, is limited to the greater of: (a) the amount you have paid us in the 12 months preceding the claim, or (b) USD $200.

11.2 Excluded Damages

To the maximum extent permitted by applicable law, we will not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, lost revenue, lost business opportunities, or lost goodwill
  • Damages resulting from your use of, or inability to use, contact data, including but not limited to bounced emails, undelivered messages, missed deals, or actions taken by listed contacts
  • Damages arising from third-party services that the Service depends on (payment processors, email delivery, cloud infrastructure, contact data sources)

11.3 Mandatory Consumer Rights

Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable consumer protection law in your jurisdiction. If you are an EU consumer, you retain all rights you have under EU consumer protection law, including those provided by Directive 2011/83/EU and Spanish Law 3/2014 (Texto Refundido de la Ley General para la Defensa de los Consumidores y Usuarios).

11.4 Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or damage (including reasonable legal fees) arising from your breach of Section 6 (License) or Section 7 (Prohibited Use), or from your misuse of contact data in violation of applicable law.

12. Privacy & Data Processing

12.1 Personal Data We Collect

When you purchase and use Funding Pass, we collect and process the following personal data:

  • Account data: Your email address, used for authentication, communication, and Service delivery
  • Preference data: Your country, company size, spend intent, persona department, and persona seniority selections
  • Payment data: Payment is processed by Stripe; we do not store your card details. We retain transaction metadata (last 4 digits, payment method type, refund status) for accounting purposes.
  • Service usage data: Records of Weekly Reports delivered to you and timestamps of email sends and downloads, used for idempotency, anti-spam, and customer support

12.2 Data Subjects in Weekly Reports

Weekly Reports include personal data of business contacts (names, titles, business email addresses, LinkedIn profile URLs). We act as a data controller for the curation and selection of this data, and you act as a data controller when you use this data for your own outreach. Both parties must comply with applicable data protection laws.

12.3 Your Rights Under GDPR

If you are located in the EU, UK, or other jurisdictions with comparable laws, you have the right to:

  • Access the personal data we hold about you
  • Correct inaccurate data
  • Request deletion of your account data ("right to be forgotten")
  • Receive a copy of your data in a portable format
  • Object to certain processing activities
  • Lodge a complaint with your local data protection authority

12.4 Data Retention

We retain account data for as long as your subscription is active, plus 24 months after your subscription ends, for legal, tax, and customer support purposes. Payment transaction records are retained per Spanish accounting law (typically 6 years). After these periods, data is deleted or anonymized.

12.5 Data Sharing

We do not sell personal data. We share data only with the following service providers, each bound by data protection agreements:

  • Stripe — payment processing
  • Resend — email delivery
  • Google Cloud — application hosting and file storage (Cloud Run, Cloud SQL, GCS)
  • Verified third-party contact data providers — for sourcing contact information included in Weekly Reports

A complete list of subprocessors is available on request.

12.6 International Data Transfers

We are based in Spain. Data may be processed in jurisdictions outside the EU/EEA (notably the US, where some service providers operate). Such transfers are protected by Standard Contractual Clauses or equivalent safeguards as required by GDPR.

12.7 Privacy Policy

A standalone Privacy Policy may be published separately and incorporated by reference into these Terms.

13. Acquisition & Assignment

13.1 Assignment Rights

We may assign, transfer, or sublicense our rights and obligations under these Terms — including in connection with a merger, acquisition, sale of assets, change of control, or reorganization — to any successor entity, without your prior consent. The successor will be bound by these Terms with respect to your subscription.

13.2 Notification

If such an assignment occurs, we will notify you by email within 30 days. Following notification, you may cancel your subscription and request a pro-rata refund of the unused portion of your current subscription period if you do not wish to continue with the successor.

13.3 Subscriber Assignment

You may not assign or transfer your subscription to another person or entity without our prior written consent.

14. Changes to These Terms · Governing Law · Contact

14.1 Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect, and the "Last updated" date at the top of this document will be revised. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not accept material changes, you may cancel your subscription per Section 4 and request a pro-rata refund of any unused portion of your current subscription period.

Non-material changes (e.g., clarifications, typographical corrections, or updates to subprocessor lists) take effect immediately upon publication.

14.2 Governing Law

These Terms are governed by the laws of Spain. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Alicante, except where applicable consumer protection law grants you the right to bring proceedings in your country of residence.

14.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid one that most closely reflects the original intent.

14.4 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service, superseding any prior agreements, communications, or understandings (whether oral or written).
